Ondas, a provider of autonomous systems and technologies for defense and industrial core missions traded on NASDAQ, has announced the signing of an agreement to acquire 100% of the Israeli company Omnisys. The transaction will be executed via a stock transaction model valued at $200 million, a move designed to integrate Omnisys into the group as a full partner for continued growth. Omnisys, which employs approximately 185 workers in Israel, develops artificial intelligence–based software for real–time operational planning, optimization, and decision–making in multi–mission and multi–dimensional environments, and currently serves as a significant player in the local defense–tech market.

The current acquisition directly follows the record results reported by Ondas, within which it presented revenues of $50.1 million in the first quarter of 2026. This figure reflects a surge of more than 10 times compared to the parallel quarter last year, and led the company to raise its annual revenue forecast to at least $390 million. For Ondas, the integration of Omnisys constitutes another significant component in the company's systems architecture, which is designed to connect autonomous systems, sensors, intelligence, and defense and offense capabilities, alongside a centralized software layer for mission management and operational decision–making in the field.

Under the agreement, Omnisys will integrate as a subsidiary within the group and maintain its long–standing commitment to the security of the State of Israel. Under the Ondas umbrella, the Israeli company is expected to strengthen its deployment in international markets through access to resources and a broad business infrastructure. The objective of the move is to accelerate its growth, expand its operations in defense markets in the United States and additional countries, and concurrently continue to strengthen its operational and technological capabilities here in Israel.

Omnisys has operated for over 25 years in the defense sector and provides operational systems to leading militaries worldwide. The company developed the BRO (Battle Resource Optimization) platform, a modular software system that is vendor–independent. The system aggregates information from sensors, command and control systems, and operational platforms, and utilizes artificial intelligence for real–time analysis and optimization. The platform supports the full mission cycle, from the preliminary planning stage, through dynamic adjustments during operational activity in the field, up to post–mission analysis and debriefing.

In the current security reality, where combat arenas include a large number of sensors, interception systems, autonomous systems, and intelligence assets operating concurrently, the ability to coordinate among all these components becomes a core operational necessity. The BRO platform improves mission execution effectiveness by more than tens of percent, and it is designed for air defense, counter–drone defense, intelligence gathering, electronic warfare, border defense, and spectrum management. The integration of the system is expected to position it as a central intelligence layer for mission management across the Ondas portfolio, and strengthens the acquiring company's transition from a platform provider to a software–based defense technology company.
